Affiliate Program Terms and Conditions
Terms of participation in the Wapi affiliate program. Please read these conditions carefully before registering.

Program Purpose

This affiliate program aims to enable partner companies to promote the Company's services and products as part of digital marketing service provision, particularly through:
The affiliate acts independently, without subordination, and provides B2B services.
Eligibility
Conditions de participation
The affiliate program is strictly reserved for companies meeting the following conditions:
- have a valid VAT number
- be legally registered
- provide upon registration: company name, full address, VAT number, billing details
Individuals acting in a private capacity are excluded from the program.
Acceptance of Terms
Votre engagement
Registration in the program implies full acceptance of these Terms and Conditions.
The affiliate acknowledges having read:
- the commission rules
- the applicable VAT regime
- the self-billing principle
- the withdrawal conditions
Commissions
Taux et conditions
5.1 Applicable Rates

7-day free trial periods do not generate any commission.
5.2 Validation and Hold
- A commission is earned only after actual payment by the end customer.
- All commissions are held for 30 days before being eligible for withdrawal.
- In case of refund, cancellation, or fraud, the corresponding commission is cancelled.
Affiliate Tiers
Progression et avantages
6.1 Affiliate (standard)
- Subscription commissions are limited to a maximum of 12 months per referred customer.
- No commission entitlement from the 13th month.
6.2 Affiliate+
Premium- Status accessible from €10,000 in monthly commissions.
- Subscription commissions have no time limit, only for subscriptions made after achieving Affiliate+ status.
Status maintenance:
- If the €10,000 threshold is not reached in a given month, a 3-month grace period is granted.
- At the end of this period, without returning to the required threshold: the affiliate is downgraded to standard Affiliate status; ongoing subscriptions switch to a maximum duration of 365 days from the downgrade date.
Subscriptions generated before Affiliate+ status remain limited to a maximum of 12 months.
6.3 Affiliate++
VIP- Status granted at the Company's discretion.
- Reserved for strategic partners or those with a specific agreement.
- Subscription commissions are unlimited, with no revenue requirements.
- No risk of downgrade.
VAT Regime - Digital Marketing Services
Services B2B
The affiliate program constitutes a B2B digital marketing service.
Applicable Regime

The VAT regime is applied automatically based on the declared country of establishment and the validity of the VAT number provided.
VAT Responsibility
The affiliate is solely responsible for:
- the accuracy of their tax information
- compliance of their declarations
- compliance with their legal and tax obligations
In case of invalid, incorrect, or expired VAT number, the Company reserves the right to suspend payments, retroactively correct the applied regime, or terminate the affiliate account.
Self-billing

8.1 Principle
The affiliate expressly accepts the self-billing principle, in accordance with Article 53 §2 of the Belgian VAT Code and applicable European rules.
The invoice is issued in the name and on behalf of the affiliate, addressed to the Company.
8.2 Invoice Numbering
The affiliate must provide the desired invoice number to maintain their own billing sequence.
No invoice will be generated without a valid number provided by the affiliate.
8.3 Validation or Replacement of Self-Invoice
For each withdrawal request, the affiliate may:
- 1 Validate the self-invoice generated by the platform
- 2 Download the provided invoice template, create their own compliant invoice, and upload it in PDF format
No payment can be made without a valid invoice.
Commission Withdrawal
Modalites de paiement
- Commission withdrawal is possible at most once every 30 days.
- While a withdrawal request is being processed, no new request can be submitted.
- Processing time is estimated between 2 and 7 business days.
- Payment is made immediately after request validation.
Independence of Parties
Statut juridique
The affiliate acts as an independent contractor.
These Terms and Conditions do not constitute:
- an employment contract
- a commercial agency mandate
- nor a legal partnership
The affiliate freely determines their promotional methods and bears their own social, tax, and administrative charges.
Suspension and Termination
Fin du partenariat
The Company reserves the right to suspend or terminate an affiliate account, without notice, in case of:
- fraud or attempted fraud
- non-compliance with these Terms and Conditions
- incorrect or incomplete tax information
- behavior detrimental to the Company's image or interests
Amendment of Terms and Conditions
Evolution des termes
The Company reserves the right to amend these Terms and Conditions at any time.
Continued participation in the affiliate program constitutes acceptance of the new conditions.
Applicable Law and Jurisdiction
Cadre legal
These Terms and Conditions are governed by Belgian law.
Any dispute relating to their interpretation or execution falls under the exclusive jurisdiction of the Brussels courts.
